(hereinafter referred to as “Holeria”)
Holeria operates a digital platform (app) through which customers can order goods from local merchants and reserve them for pickup.
Holeria itself does not sell goods. The purchase contract is concluded exclusively between the customer and the respective merchant.
Holeria merely provides the technical infrastructure.
Use of the ordering function requires registration.
The user is obligated to provide truthful information.
Access credentials must be kept confidential.
The display of products does not constitute a legally binding offer.
By submitting an order, the customer makes a binding offer to the merchant.
The contract is formed once the merchant confirms the order.
The prices stated by the merchant apply, including statutory VAT.
Payment is made depending on selection:
• in-store
• digitally through the app (if integrated).
Payment processing through third-party providers is subject to their terms.
Pickup
Pickup takes place at the chosen time at the merchant's store.
Availability
The merchant is responsible for the availability of goods.
Non-collection
In the event of non-collection, the merchant may withdraw from the contract.
Consumers generally have a statutory right of withdrawal.
There is no right of withdrawal in particular for:
• perishable food that spoils quickly
• custom-made goods
• sealed goods once opened
The applicable statutory provisions apply (Section 312g of the German Civil Code, BGB).
Holeria is liable only for intent and gross negligence.
The merchant alone is liable for product quality, food safety, or defects.
In cases of slightly negligent breach of duty, Holeria is liable only for breach of material contractual obligations.
Holeria reserves the right to suspend users in cases of misuse or false information.
German law applies.
The place of jurisdiction is — to the extent permissible — the company's registered seat.
Should individual clauses be invalid, the remainder of the contract remains valid.
